Master Service Agreement & Terms of Service
1. Scope of Services
These Terms and Conditions (“Agreement”) govern the provision of lead generation, search engine optimization (SEO), and technical marketing services provided by SEO My Clicks (“Company”) to the client (“Client”).
1.1 Precision Scale IT Package
The "Precision Scale" package is specifically engineered for MSPs and technology firms. It includes:
- Monthly acquisition and verification of up to 4,000 vertically segmented contacts.
- Implementation of a Risk-Based Appointment Sequence (4-step email framework).
- Vertical and Title-specific segmentation focusing on high-compliance sectors (Legal, Finance, Healthcare).
- Management of high-volume deployment via specialized outreach infrastructure.
1.2 Territory Exclusivity
Company operates on a strict geographic exclusivity model for the "Precision Scale" package. Company will only accept one (1) MSP client per target geographical area (typically defined by a 50-mile radius or specific metropolitan statistical area) per quarter. Securing a slot guarantees that Company will not provide identical outbound lead generation services for a direct competitor within that designated territory for the duration of the engagement.
2. Financial Terms & Budget Allocation
The Client agrees to a monthly investment of $1,000.00 USD for the Precision Scale Package. To ensure transparency and protect the Company from liability regarding third-party expenditures, the budget is strictly allocated as follows:

2.1 One-Time Infrastructure Fee
Client acknowledges that a one-time setup fee of $100.00 USD is required for the establishment of a "Dedicated Sending Infrastructure." This includes the purchase of a secondary domain (e.g., yourname-it.com), email account configuration, and DNS authentication (SPF, DKIM, DMARC).
3. Risk Mitigation & Domain Protection
3.1 Dedicated Sending Infrastructure (Mandatory)
Sending 4,000 cold emails monthly directly from a Client’s primary business domain presents an unacceptable operational risk. To mitigate the risk of blacklisting or spam-folder placement, the Client must utilize the Dedicated Sending Infrastructure established by the Company. Company shall not be held liable for any damages, loss of communication, or reputation issues if the Client insists on using their primary business domain against Company's recommendation.
3.2 Warm-up Protocol
Every new outreach domain undergoes a mandatory 14-day "Warm-up" phase. During this period, email volume is artificially capped and gradually increased. Client acknowledges that active outreach results will scale in Week 3 of the initial cycle due to this security requirement.
4. Performance Guarantees & "Qualified Appointment" (QA)
4.1 Definition of a Qualified Appointment
A "Qualified Appointment" (QA) is defined as a prospect who has either (a) agreed to a meeting via a booking link or (b) explicitly replied in the affirmative to a specific call-to-action (CTA) expressing interest in an IT strategy consultation. A simple "Risk" reply is considered a Marketing Qualified Lead (MQL) and requires nurturing before becoming a QA.
4.2 The "Precision" Guarantee
Company targets 10-15 QAs per monthly cycle. If the campaign fails to generate a minimum of 5 QAs after a full 4-week cycle, the following remedies apply:
- Root Cause Analysis: Within 5 days of cycle end, Company will provide a detailed audit of bounce rates, open rates, and vertical performance.
- The Rapid Pivot: Company will perform a fundamental pivot (changing messaging from "Risk" to "Cost-Efficiency" or switching target verticals) at no additional service charge.
- Service Fee Waiver: If performance remains below 5 QAs during the pivot month, the Service Fee portion ($250.00) of the subsequent month will be waived. Hard costs for new data and tools remain the responsibility of the Client.
4.3 Money-Back Assurance
If the campaign generates zero (0) leads after a full initial cycle AND a subsequent pivot cycle, Company will refund 100% of the initial Service Fees ($250.00). Hard costs paid to data vendors and software platforms are final and non-refundable.
5. Client Responsibilities & Blockers
The success of the campaign is contingent upon Client participation in the following areas:
- Discovery Phase: Client must provide accurate data regarding their Unique Selling Proposition (USP), core service failures they solve, and current Ideal Customer Profile (ICP).
- Asset Provision: Client must provide or approve necessary social proof (case studies/testimonials) and a landing page for the "Proactive Monitoring Process."
- Lead Triage: Client's sales team is responsible for attending the booked appointments. Company is not responsible for the failure of a prospect to show up to a meeting or the Client's failure to close a contract.
6. Intellectual Property & Ownership
Upon full payment, the Client owns all 4,000 contacts acquired during each cycle, all custom email copy generated, and the dedicated outreach domain established. Company retains the right to use the general strategy and vertical insights for other clients outside of the Client’s exclusive territory.
7. Limitation of Liability
In no event shall SEO My Clicks, its directors, or employees be liable for any indirect, incidental, special, or consequential damages (including loss of profits or revenue) arising out of or in connection with the services provided. Total liability for any claim under this agreement is limited to the total amount of Service Fees paid by the Client in the three (3) months preceding the claim.
8. Termination
Engagement is recommended as a 3-cycle minimum (90-120 days) to allow for data iteration. Either party may terminate this agreement with 15 days' written notice prior to the start of the next billing cycle. No refunds are provided for active cycles once hard costs have been deployed for data acquisition.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida. Any legal action or proceeding arising under this Agreement will be brought exclusively in the courts located in Miami-Dade County.
